Amanda counsels private companies on corporate legal matters, with a focus on mergers and acquisitions and offerings of debt and equity securities. She provides strategic advice as well as transaction counsel that includes drafting and negotiating term sheets, stock and asset purchase agreements, board and stockholder consents and other transaction documents for private company financings and acquisitions. Amanda also provides counsel on entity formation and related corporate governance matters. Her experience extends to commercial real estate, including drafting contracts and providing supporting documentation and advice on commercial leases and license agreements.

During law school, Amanda served as a legal intern to the Hon. Daniel J. Stewart, Judge in the U.S. District Court for the Northern District of New York. She was also a legal intern in the special victims unit of the Albany County District Attorney’s office.
