Practically every in-house attorney has had a SaaS contract come across their desk for review. But as we bound into the artificial intelligence era you are more and more likely to be asked to review contracts with vendors offering AI-related services. While the typical issues germane to SaaS contracts like indemnity and limitation of liability are still of course a concern, there are certain issues unique to the world of AI, and generative AI in particular, that should be top of mind. Brendan and Jordan will cover a number of key considerations when redlining SaaS contracts with AI vendors, including:

  • Confidentiality and data privacy issues,
  • IP ownership rights in relation to inputs and outputs,
  • Risk allocation for violations of AI-related regulations, and
  • Transparency surrounding LLMs and how they are trained.
